These Terms of Business ("Terms") govern your access to and use of the Cybermate website and services (together, the "Services"), provided by Cybermate ("Cybermate", "we", "us" or "our"). By accessing our website or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Our services

Cybermate provides AI-powered cyber awareness training, real-time scam and threat protection, human risk reporting and related tools for schools, small businesses, charities, not-for-profits and enterprise organisations across Australia. The specific scope of Services provided to a customer is set out in the applicable order, subscription plan or agreement.

2. Eligibility and accounts

You must be authorised to act on behalf of your organisation to accept these Terms. You are responsible for maintaining the confidentiality of any account credentials and for all activity under your account.

3. Fees and payment

Fees for paid Services are as set out on our Pricing page or in your order/subscription agreement. Fees are quoted in Australian dollars unless stated otherwise and are exclusive of GST unless stated otherwise. Subscriptions renew and are billed in accordance with the plan selected at sign-up, unless cancelled in accordance with these Terms.

4. Intellectual property

All content, software, trademarks and materials that form part of the Services (excluding customer data) remain the property of Cybermate or our licensors. You're granted a limited, non-exclusive, non-transferable licence to use the Services for your organisation's internal purposes for the term of your subscription.

5. Customer data

You retain ownership of the data you submit to the Services. We handle personal information in accordance with our Privacy Policy. We will not use your customer data other than to provide, support and improve the Services, or as required by law.

6. Acceptable use

You agree not to misuse the Services, including by attempting to gain unauthorised access to our systems, interfering with the operation of the Services, or using the Services for any unlawful purpose.

7. Warranties and disclaimers

We provide the Services with reasonable care and skill. To the maximum extent permitted by law, and subject to any consumer guarantees under the Australian Consumer Law that cannot be excluded, the Services are provided "as is" without warranties of any kind, express or implied.

8. Limitation of liability

To the maximum extent permitted by law, Cybermate's total liability arising out of or in connection with the Services is limited to the amount paid by you for the Services in the twelve (12) months preceding the claim. Neither party is liable for indirect, special or consequential loss.

9. Term and termination

These Terms apply for as long as you use our website or hold an active subscription. Either party may terminate a subscription in accordance with the applicable order or subscription terms. We may suspend or terminate access where these Terms are breached.

10. Governing law

These Terms are governed by the laws of New South Wales, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of New South Wales.

11. Changes to these Terms

We may update these Terms from time to time. The "last updated" date above reflects the most recent revision. Continued use of our website or Services after any change constitutes acceptance of the updated Terms.
